EBITDA includes manager compensation and reflects EVC adjustments to seller-provided financials. Figures are rounded.

Approximately $1.55 million in total equity funds the purchase, working capital and closing allowances. The operating plan retains local management, with EVC overseeing financial reporting and capital allocation.

Acquisition subject to diligence, final agreements, funding and approvals.

Income and tax treatment

Expected qualified-dividend treatment.

Under the planned C corporation operating structure, dividend income passed through the fund is expected to qualify for preferential federal dividend tax rates for eligible individual investors.

Qualification is subject to applicable requirements. The cash-yield target is before investor-level taxes.

Tax character depends on corporate earnings and profits, holding periods, and individual circumstances. Cash distributions and taxable income may differ; not every dollar distributed is necessarily a qualified dividend. State taxes and net investment income tax may also apply.

Questions and considerations

Understand the investment.

Has a business already been identified?

Yes. EVC has identified a specific linehaul business and completed initial underwriting. Fundraising is intended to support this proposed acquisition. The transaction has not closed and remains subject to confirmatory diligence, definitive agreements, sufficient capital, and required approvals.

What are the principal risks?

Revenue depends on the FedEx relationship and operating requirements. Repairs, tractor replacements, labor costs, and changes in activity can reduce cash available for distributions. This is an illiquid private investment, and investors may lose some or all of their capital.

How should I interpret the 12–15% target?

The 12–15% target is a stabilized annual investor cash-yield objective, not historical fund performance or a promised return. It is measured on contributed capital remaining invested, after operating costs, corporate tax, reserves, fund expenses, management fees and the waterfall, and before investor-level taxes. It excludes intercompany-note principal and terminal proceeds. Actual distributions may be lower or zero. The private materials explain the assumptions, distribution mechanics, and risks.

How is the income expected to be taxed?

The planned structure is a fund LLC owning a domestic C corporation. Qualifying dividend income is expected to pass through to eligible taxable individual investors and be reported on Schedule K-1. Qualification and actual tax liability depend on applicable requirements and investor circumstances. Cash paid out does not necessarily equal taxable qualified-dividend income.

What will I receive after requesting information?

An acquisition overview and an opportunity to speak with the investment team. Appropriate prospects can then review the acquisition memorandum, supporting materials, and offering documents.

Can I redeem my investment?

This is intended as a long-term investment. Transfers and any liquidity mechanisms are governed by the fund documents; investors should not assume they can exit on demand.
